Blowing the nonresident-shareholder withholding. An Oklahoma S corp with even one out-of-state shareholder must register on Form OW-11, withhold 4.75% of that shareholder's Oklahoma distributive share (not of cash actually distributed), remit it, file Form WTP-10003, and issue Form 500-B — unless the shareholder files Form OW-15. DIY owners almost never do this, and the tax is assessed against the corporation. The making-the-PTE-election version of the same mistake: the Form 586 election is BINDING UNTIL REVOKED, and revocation cannot be done on the 512-S and is only retroactive to the start of the year if filed within 2 months and 15 days. Runner-up scheduling trap: the 512-S is due ~April 15 (30 days after the federal date), not March 15 — and it must be e-filed, so a paper return is not a valid filing.
S-corp election in Oklahoma
In short
No entity-level income tax in the normal case and NO franchise tax (repealed after tax year 2023) — but mandatory 4.75% withholding on nonresident shareholders' distributive shares is a real entity-level cash obligation.
Does Oklahoma recognize the federal S election?
Oklahoma automatically recognizes the federal S election; there is no separate state election form. Per the Form 512-S packet: "All corporations having an election in effect under Subchapter S of the IRC engaged in business or deriving income from property located in Oklahoma and that are required to file a federal income tax return using Form 1120-S, must file an Oklahoma income tax return on Form 512-S. Do not use Form 512." Electronic filing is mandatory under Rule 710:50-17-1. One carve-out: state and national banks and state credit unions making a federal S election do not pay the 4% "In Lieu" tax under 68 O.S. 2370 — their income is reported at the shareholder level.
Tax the entity still owes
Franchise tax: repealed by HB 1039X (2023); tax year 2023 was the final year an Oklahoma franchise tax return was required, and there is no franchise tax for 2024 and later. Corporate income tax generally does not reach the S corp. Where an S corp does pay tax at the corporate level (e.g., built-in gains), estimated payments are required when tax "can reasonably be expected to be $500 or more," and estimates must be at least 70% of the tax due; no underpayment interest applies if the tax shown on the return is under $1,000. Nonresident member withholding: PTEs "are required to withhold Oklahoma income tax at a rate of 4.75% of the Oklahoma share of taxable income distributed to each nonresident member" (68 O.S. 2385.29-.31), unless the member files Form OW-15. Oklahoma individual rates for 2026 under HB 2764 (effective November 1, 2025): three brackets, top rate 4.5% on taxable income over $7,200 single / $14,400 joint.
Registering for payroll
(1) Withholding: register a withholding tax account with the Oklahoma Tax Commission through OkTAP (oktap.tax.ok.gov) using the New Business Registration; account ID typically issued within about five days when registering online. (2) Unemployment insurance/SUTA: register with the Oklahoma Employment Security Commission (OESC) through EZ Tax Express (eztaxexpress.oesc.state.ok.us). (3) SEPARATE from payroll withholding: if the S corp has nonresident shareholders, it must also register for nonresident member withholding using Form OW-11, Registration for Oklahoma Withholding for Nonresident Members — this is a distinct account from the wage withholding account.
Annual filings
Form 512-S, Oklahoma Small Business Corporation Income Tax Return — "Corporate returns shall be due no later than 30 days after the due date established under the IRC," i.e. roughly April 15 for a calendar-year S corp whose federal 1120-S was due March 15. MUST be filed electronically (Rule 710:50-17-1). A valid federal extension automatically extends Oklahoma if no Oklahoma liability is owed (attach a copy); otherwise use Form 504-PTE. Form 512-SA Nonresident Shareholder Agreement. Form WTP-10003, Oklahoma Nonresident Distributed Income Withholding Tax Annual Return, due by the S corp's return due date including extensions, plus Form 500-B to each nonresident shareholder. Form 586 if making or revoking the PTE election; Form 587-PTE to compute PTE tax. Withholding: OTC wage withholding returns plus annual W-2 transmittal; OESC quarterly UI wage reports. Corporations are NOT required to file an Annual Certificate with the Oklahoma Secretary of State; LLCs must file an Annual Certificate on the anniversary of formation.
Pass-through entity tax
Yes. Pass-Through Entity Tax Equity Act of 2019, 68 O.S. 2355.1P-1 through 2355.1P-4. Elected on Form 586 in one of two ways: (1) stand-alone Form 586 filed "at any time during the preceding tax year; or within two months and 15 days after the beginning of the current tax year"; or (2) beginning with tax year 2024, on the return itself — "The election must be made prior to, but not later than, the due date of the applicable income tax return, including any extensions," with Form 586 attached and the "first-year PTE election" box (5) checked on Form 512-S page 1. Mailed to Oklahoma Tax Commission, Oklahoma City, OK 73194. The election "is binding until revoked"; revocation is Part 2 of Form 586 and CANNOT be made on Form 512-S. Revocation is effective the first day of the taxable year only if filed within 2 months and 15 days of the start of that year, otherwise the following year. Compute the tax on Form 587-PTE. Rates per the 2025 packet: 4.75% for individual and trust members, 4% for corporate, S corporation and partnership members. The PTE election overrides and revokes any composite election and the S corp's nonresident withholding obligation for that year. Electing PTEs receive an OTC acknowledgment letter that shareholders must attach to their own returns. No SALT-cap sunset in the Oklahoma statute.
