Does Utah recognize the federal S election?
Utah automatically recognizes the federal S election with no separate state election. Per the TC-20S instructions: "Every S corporation (as defined in IRC §1361(a)) that has filed a proper and timely election under IRC §1362(a) must file form TC-20S, so long as the federal election remains in effect." The S corp itself is not subject to Utah income tax — shareholders are liable in their separate capacities — but filing TC-20S is mandatory, and the entity must withhold Utah tax on nonresident individual shareholders and on all business, estate and trust shareholders via Schedule N.
Tax the entity still owes
This is the most commonly misstated Utah fact, so it is worth being precise. The TC-20S instructions say of C corporations: "There is a minimum tax (privilege tax) of $100 on every corporation that files form TC-20." Immediately under the S Corporation heading they then state: "THE MINIMUM TAX DOES NOT APPLY TO S CORPORATIONS." So a Utah S corp with no income owes $0, not $100 — national guides routinely get this wrong. Utah also has no franchise tax or net-worth tax on S corps. What the S corp DOES owe at the entity level is pass-through withholding computed on Schedule N for nonresident individual shareholders and for all resident and nonresident business, estate and trust shareholders (UCA §59-10-1402(11)); a waiver may be claimed under UCA §59-10-1403.2(5). Crucially, "All pass-through withholding tax from Schedule N, column J must be paid by the ORIGINAL due date of the return, WITHOUT REGARD TO EXTENSIONS." The Utah rate is 4.5% for tax year 2025 — the 2025 Legislature's HB 106 lowered the corporate income tax rate from 4.55% to 4.5%.

Register for a Utah withholding tax account with the Utah State Tax Commission (Form TC-69, or through the Utah OneStop Business Registration portal), and register for unemployment insurance (SUTA) with the Utah Department of Workforce Services. Utah has no state paid-family-leave payroll tax.
