Does Nevada recognize the federal S election?

Tax the entity still owes

All Secretary of State figures below are now quoted from the Nevada Revised Statutes on the Nevada Legislature's official site, which resolves the prior sourcing gap. STATE BUSINESS LICENSE — NRS 76.100(2)(c): the application "must be accompanied by a fee in the amount of $200, except that if the applicant is a corporation organized pursuant to chapter 78, 78A or 78B of NRS, or a foreign corporation required to file an initial or annual list with the Secretary of State pursuant to chapter 80 of NRS, the application must be accompanied by a fee of $500." NRS 76.130(2) sets the same $500 for RENEWAL by a corporation ($200 for other entities). Under NRS 76.100(1)(a), an entity required to file an initial or annual list must obtain the state business license AT THE TIME of filing that list. ANNUAL LIST — NRS 78.150(2): a corporation must file the annual list "on or before the last day of the month in which the anniversary date of incorporation occurs in each year" (or the anniversary of an alternative due date selected under subsection 12). The list must name the president, secretary and treasurer or equivalents and all directors, with addresses, signed by an officer. ANNUAL LIST FEE — NRS 78.150(4): the INITIAL list fee is $150. The ANNUAL list fee is scaled by the value represented by the total number of shares provided for in the articles: $75,000 or less — $150; over $75,000 and not over $200,000 — $200; over $200,000 and not over $500,000 — $300; over $500,000 and not over $1,000,000 — $400; over $1,000,000 — $400 for the first $1,000,000 plus $275 for each additional $500,000 or fraction thereof; maximum fee $11,125. So $150 is the FLOOR and applies where authorized stock value is $75,000 or less, which covers most small S corps — but a corporation that authorized a large share value at formation pays more. NOTICE: under NRS 78.150(7) the Secretary of State provides a notice of the fee due 90 days before the last day for filing, but failure to receive it does not excuse the penalty. An amended list filed within 60 days of the initial list carries no fee; otherwise a $75 fee applies to file an officer/director resignation not reflected on the list. MODIFIED BUSINESS TAX: 1.17% on taxable wages above a $50,000 quarterly exemption. COMMERCE TAX: applies to Nevada gross revenue exceeding $4,000,000; the 2026 return was due August 14, 2026; the rate varies by NAICS business category and must be looked up per business.

Registering for payroll

An S corp paying wages must register with the Nevada Department of Taxation for the Modified Business Tax and with the Nevada Department of Employment, Training and Rehabilitation (DETR) for unemployment insurance. The Modified Business Tax is filed quarterly at 1.17% on taxable wages exceeding the $50,000 quarterly exemption. Note that an owner-employee's wages count toward the MBT base, so electing S-corp status and paying yourself a salary in Nevada creates an MBT exposure that a sole proprietor does not have — though the $50,000 quarterly ($200,000 annual) exemption absorbs most small payrolls.
